Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Dealer,” “you,” or “your”) and MyDealerOS (“we,” “us,” or “our”) governing your access to and use of the MyDealerOS platform, including the dealer management dashboard, public storefront, mobile scanning tools, lead management system, and all associated services (collectively, the “Service”).

By completing the sign-up process, clicking “Get Started,” or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business.

If you do not agree to these Terms, do not use the Service.

MyDealerOS provides a software-as-a-service (SaaS) platform purpose-built for independent automotive dealers. Features include but are not limited to:

• VIN scanning and vehicle data decoding
• Guided photo capture and management
• AI-generated vehicle descriptions and insights
• A publicly accessible dealer storefront (hosted on your subdomain or custom domain)
• Lead inbox for customer inquiries
• Inventory management tools
• Trade-in estimator for your customers
• Window sticker generation

We reserve the right to modify, add, or remove features at any time. We will provide reasonable notice of material changes that negatively impact core functionality.

To access the Service, you must create an account using a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information during registration and to keep your account information current. You must notify us immediately at hello@mydealeros.com if you believe your account has been compromised.

You may not share your account credentials with third parties. Each account may only represent one dealership location. For multiple locations, contact us about multi-location pricing.

Setup Fee

A one-time setup fee of $500 is charged at the time of account creation. This fee covers account provisioning, storefront configuration, onboarding support, and is non-refundable after your storefront has been activated.

Monthly Subscription

Following setup, the Service is billed at $499/month, charged to your payment method on file on the same calendar day each month. Your subscription begins immediately upon successful payment of the setup fee.

Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your full payment card details. By providing payment information, you authorize MyDealerOS to charge the applicable fees to your payment method on a recurring basis until you cancel.

Failed Payments

If a monthly payment fails, we will retry up to three times over seven days. If payment is not collected after retries, your account may be suspended and your storefront taken offline until the outstanding balance is resolved. You remain responsible for all unpaid amounts.

Price Changes

We reserve the right to change our pricing with at least 30 days' written notice. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Taxes

Subscription fees are exclusive of any applicable sales, use, or similar taxes. You are responsible for any taxes imposed on your use of the Service in your jurisdiction.

There are no long-term contracts. Your subscription is month-to-month and you may cancel at any time from your account Settings page.

Cancellation takes effect at the end of your current billing period. You will retain full access to the Service through that date. After the billing period ends, your account will be downgraded and your public storefront will be taken offline. Your data will be retained for 60 days following cancellation, after which it may be permanently deleted.

We do not offer prorated refunds for partial months. The one-time setup fee is non-refundable in all circumstances.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• List vehicles you do not own, have authority to sell, or that have a salvage, flood, or otherwise undisclosed title issue
• Use the Service to engage in fraud, misrepresentation, or any deceptive trade practice
• Upload content that is illegal, defamatory, obscene, or infringes any third-party intellectual property rights
• Attempt to reverse engineer, decompile, or derive source code from any part of the platform
• Use automated bots, scrapers, or crawlers against the Service
• Transmit malware, viruses, or any code designed to damage or disrupt the Service
• Resell, sublicense, or make the Service available to third parties without our express written consent
• Violate any applicable law, regulation, or consumer protection rule in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these terms without prior notice and without refund.

Ownership

You retain full ownership of all content you upload to the Service, including vehicle listings, photos, business information, and customer data (collectively, “Your Content”). We claim no ownership rights over Your Content.

License to MyDealerOS

By uploading content, you grant MyDealerOS a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit Your Content solely for the purpose of operating and improving the Service. This license ends when you delete the content or close your account.

Customer Data

You are solely responsible for obtaining any required consents from your customers before collecting their contact information through your storefront. You agree to use customer data only for legitimate dealership purposes and in compliance with all applicable privacy laws, including the CAN-SPAM Act and any applicable state privacy regulations.

Data Security

We implement industry-standard technical and organizational measures to protect your data. However, no system is completely secure. You acknowledge that you use the Service at your own risk and that MyDealerOS is not liable for unauthorized access resulting from your failure to maintain account security.

The MyDealerOS platform, including all software, design elements, logos, and documentation, is owned by MyDealerOS and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or compensation to you.

The Service integrates with third-party services including but not limited to Stripe (payment processing), Supabase (data infrastructure), CARFAX (vehicle history, optional), and various vehicle data providers. Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or actions of any third-party service. Disruptions to third-party services may temporarily affect Service availability; such disruptions do not entitle you to refunds.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that any specific result will be achieved. Vehicle data decoded from VIN scans and AI-generated descriptions are provided for convenience only and may contain inaccuracies. You are responsible for verifying all vehicle information before publishing listings.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYDEALEROS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless MyDealerOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason including but not limited to: breach of these Terms, non-payment, fraudulent activity, or if we believe your use poses a risk to us, our platform, or other users.

You may terminate your account at any time by cancelling your subscription and ceasing use of the Service. Termination does not relieve you of any outstanding payment obligations.

Upon termination, your access to the Service will cease and your storefront will be taken offline. Sections 6, 7, 9, 10, 11, and 13 of these Terms survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA) with proceedings conducted in Missouri.

Class Action Waiver: You agree that any arbitration or legal proceeding will be conducted on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes by emailing the address associated with your account or by posting a notice on your dashboard. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms.

If you object to any updated Terms, your sole remedy is to cancel your subscription before the changes take effect.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyDealerOS with respect to the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.

Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including internet outages, natural disasters, or third-party service failures.
